JDAC Terms of Use

These Terms of Use (“Terms”) are a agreement between you and JDAC, LLC (“JDAC”, “we”, “us”). By accessing or using a JDAC website, tool, demonstration, resource, or downloadable material, you agree to these Terms. If you do not agree, do not use them.

These Terms apply generally across JDAC public properties, including JDAC Labs, unless a separate written agreement between you and JDAC covers the same subject matter. Where a signed agreement, statement of work, or product-specific terms apply, that document controls for what it covers.

JDAC publishes informational pages, product pages, working prototypes and demonstrations, AI-assisted tools, guides, templates, and other downloadable resources. Availability, features, and content vary by product and change over time. Some resources are offered in exchange for information you submit through a form; the disclosure shown on that form describes what you are requesting.

JDAC materials are provided for general informational and educational purposes. They are not legal, financial, medical, clinical, tax, employment, or other professional advice, and they do not create a professional relationship. You should obtain qualified professional advice before acting on anything published by JDAC.

Several JDAC tools use artificial-intelligence services to generate output from the information you enter. AI output can be incomplete, inaccurate, outdated, or unsuitable for your situation, and the same input will not always produce the same result.

Do not enter passwords, credentials, payment details, health or other regulated information, confidential client information, or trade secrets into a JDAC public tool. The privacy policy for the specific product describes how that product handles what you submit.

You are responsible for reviewing, verifying, and editing any output before you rely on it, publish it, share it, or use it in your own product or business. Decisions you make using JDAC materials or AI-assisted output are your decisions.

You agree not to:

• use JDAC properties in violation of applicable law or the rights of others;
• attempt to gain unauthorized access to any system, account, or data;
• interfere with, overload, scrape at abusive volume, or disrupt a JDAC service or the infrastructure behind it;
• submit malicious code, or content that is unlawful, infringing, deceptive, or harassing;
• use a JDAC tool to generate content intended to harm, defraud, or mislead others; or
• misrepresent your identity or your authority to submit information on behalf of someone else.

JDAC properties and their contents — including text, design, interfaces, graphics, product names, logos, software, frameworks, prompts, and the underlying methodologies — are owned by JDAC, LLC or its licensors and are protected by intellectual-property law. Nothing in these Terms transfers ownership of any JDAC intellectual property to you.

Unless a written agreement says otherwise, JDAC grants you a limited, personal, non-exclusive, non-transferable, revocable license to use JDAC downloadable materials and methodologies:

• for your own personal projects; and
• for your organization’s internal projects.

You may keep the copy you received and apply it internally for as long as this license is in effect.

You may not:

• resell, license, or otherwise commercialize JDAC materials;
• redistribute or publish JDAC materials, in whole or substantial part, publicly or to third parties outside your organization;
• white-label, rebrand, or sublicense JDAC materials;
• build a competing commercial product, service, or training offering from JDAC proprietary methodologies or materials; or
• represent JDAC methodologies, frameworks, or materials as your own work or another party’s work.

JDAC’s frameworks and methodologies are proprietary. Use of a JDAC resource does not grant rights to the methodology behind it beyond the internal use described above.

JDAC properties link to and rely on third-party services — including hosting, analytics, chat, AI providers, and distribution platforms such as browser extension stores and app stores. JDAC does not control those services, and their own terms and privacy policies govern your use of them. Links to third-party sites are not an endorsement.

JDAC properties are provided on an as-available basis. Many JDAC Labs products are prototypes, betas, or MVPs. We may add, change, suspend, limit, or discontinue any page, feature, tool, or resource at any time, with or without notice.

To the fullest extent permitted by law, JDAC properties, materials, and AI-assisted output are provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.

To the fullest extent permitted by law, JDAC, LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to your use of JDAC properties, materials, or AI-assisted output — whether based in contract, tort, or any other theory, and even if advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

JDAC may suspend or terminate your access to any JDAC property or resource where we reasonably believe these Terms have been violated, where access poses a security or legal risk, or where a service is being discontinued. The sections on intellectual property, prohibited use, disclaimers, and limitation of liability survive termination.

These Terms and the JDAC Privacy Policy do not replace, expand, or weaken the consent language shown on a specific form. The disclosure presented at the point of submission controls the communication authorization you are giving. Consent to marketing or telephone communications is never a condition of purchasing any JDAC goods or services. You can withdraw consent at any time using the unsubscribe link in a message or by contacting JDAC.

JDAC may update these Terms as its products, resources, and service providers change. The effective date above identifies the current version. Continued use after an update means you accept the revised Terms.
